GeM Billing Pro is an independent commercial software product engineered and operated by Madhu Pindariya (Sole Proprietorship) ("Company"). GeM Billing Pro is NOT affiliated with, sponsored by, authorized by, or endorsed by the Government e-Marketplace (GeM), the Ministry of Commerce and Industry, the Goods and Services Tax Network (GSTN), or the Government of India. All trademarks, portal designations, and acronyms (including "GeM" and "GST") belong strictly to their respective statutory owners and are referenced solely for descriptive and compatibility purposes.
1. Acceptance of Terms
By accessing, browsing, registering an account on https://gem-billing-pro.in, downloading our Windows desktop application, or using our Android mobile companion app, you ("Customer", "User", "You") agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, Cancellation & Refund Policy, and Shipping & Delivery Policy. If you do not agree to these terms, you must discontinue use immediately.
2. Eligibility & Account Registration
To use GeM Billing Pro, you must be a legally competent individual or an authorized representative of a business entity (Proprietorship, Partnership, LLP, or Company) operating in India or supplying Indian government tenders. You agree to provide true, accurate, and complete registration information (name, business email, mobile number, and firm details) and keep your credentials confidential. You are solely responsible for all activities occurring under your account.
3. Scope of Software Services & Licenses
GeM Billing Pro provides specialized invoicing utilities, multi-firm management, HSN summaries, and CA reporting packages. We provide two distinct licensing models:
- Cloud Sync Pro (SaaS Subscription): Grants a non-exclusive, non-transferable, revocable license to access the web application and Android companion app with multi-device database synchronization and automated cloud backups during an active paid subscription period.
- Desktop Private Pro (Offline Software License):Grants a non-exclusive, non-transferable license to install and execute the Windows desktop application (.exe) locked cryptographically to a single computer hardware identifier (Machine ID). All business data is stored locally in an encrypted SQLite database on the customer's physical machine with zero cloud upload.
4. Subscription Plans, Pricing & Taxes
- Pricing Structure: All product pricing is denominated in Indian Rupees (INR) as displayed on our Pricing Page. We reserve the right to modify subscription fees; existing active paid subscriptions will not be affected until their next renewal date.
- Taxes (GST): Subscription prices are subject to statutory Goods and Services Tax (GST) as applicable under Indian tax laws. A valid GST tax invoice is issued electronically upon payment completion.
- Free Trial Policy: To prevent abuse of cloud storage resources and maintain high service quality, GeM Billing Pro does not offer an unvetted free trial. Video walkthroughs, feature demonstrations, and comprehensive documentation are publicly available prior to purchase.
5. Payment Processing via Razorpay
All online payments, recurring subscription authorizations, and financial transactions on GeM Billing Pro are processed through our authorized payment gateway partner, Razorpay Software Private Limited.
By submitting payment information, you agree to comply with Razorpay’s terms and RBI regulations. GeM Billing Pro never collects, views, or stores your sensitive financial credentials (credit/debit card numbers, CVVs, or Net Banking passwords). All payments are protected with 256-bit TLS encryption and PCI-DSS Level 1 compliance.
6. Subscription Renewals, Grace Period & Expiry
Cloud subscriptions renew automatically at the selected billing cycle unless cancelled prior to the renewal date. If a renewal payment fails:
- A seven (7) day grace period is extended during which you maintain standard access.
- Following the grace period, the account enters Read-Only Mode (you can search and download existing invoices and CA packages, but new invoice generation is locked).
- Customer data is retained securely for ninety (90) days following expiry before scheduled deletion.
7. Cancellation & Refund Terms
Cancellations and refunds are governed strictly by our dedicated Cancellation & Refund Policy. Desktop software licenses are non-refundable once activated on client hardware. Cloud subscription cancellation takes effect at the end of the current billing cycle.
8. User Responsibilities & Statutory Compliance
GeM Billing Pro provides computational tools and document templates. You are solely and exclusively responsible for:
- Verifying the legal validity and accuracy of your GSTIN, legal trade name, and bank account credentials.
- Ensuring correct HSN/SAC codes, GST slab rates (0%, 5%, 12%, 18%, 28%), and Place of Supply determinations on invoices.
- Filing statutory GST returns (GSTR-1, GSTR-3B, GSTR-9) and submitting payment vouchers directly to the official GST and GeM portals.
- For Desktop users: performing regular external database backups using the built-in backup utility to guard against local hardware drive failure.
9. Acceptable Use & Prohibited Conduct
You agree not to:
- Reverse engineer, decompile, crack, disassemble, or bypass cryptographic license checks in the Desktop or Web software.
- Use the software to generate fraudulent, fictitious, or forged invoices or claim illegal input tax credits.
- Attempt unauthorized penetration testing, vulnerability scanning, or disruption of our servers.
- Sub-license, resell, or distribute the software to third parties without prior written consent.
10. Intellectual Property Rights
All software architecture, source code, user interfaces, database designs, documentation, logos, and digital assets associated with GeM Billing Pro remain the exclusive intellectual property of Madhu Pindariya (Sole Proprietorship). Customers retain 100% ownership of their proprietary business data, customer ledgers, and invoice records.
11. Limitation of Liability
To the maximum extent permitted by applicable Indian law, the Company and its directors, employees, or contractors shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of business profits, tender disqualification, portal penalties, tax interest, or loss of local computer data due to hardware malfunction. Our aggregate financial liability under all claims arising from your use of the software shall not exceed the total subscription amount actually paid by you to the Company in the twelve (12) months preceding the incident.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the substantive laws of India. Any legal dispute, controversy, or claim arising out of or relating to these Terms or software usage shall be subject to the exclusive jurisdiction of the competent courts situated in Gujarat, India.
